The role of a corporate lawyer is to ensure the legality of commercial transactions, advise the company on their legal rights and obligations, including the duties and responsibilities of corporate officers. To do this, they must have knowledge of the legal aspects of the contract, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws, and specific laws for the business of the companies they work for. In recent years, controversies involving well-known companies such as Walmart and General Motors have highlighted the complex role of corporate lawyers in internal investigations, in which the attorney-client privilege can be considered to protect potential errors by companies. If corporate clients of corporate lawyers are not guaranteed confidentiality, they will tend to seek legal advice, but maintaining confidentiality can protect people's access to important information.

Company legal practice is less hostile than the law of the trial. Lawyers for both sides of commercial transactions are fewer opponents than facilitators. A lawyer (quoted by Bernstein) characterizes them as "ladies of agreement". Transactions occur among peers. There are rarely disadvantaged parties, underdogs, or inequalities in the financial means of the participants. Company lawyers arrange the transaction, draw up documents, review agreements, negotiate, and attend meetings.

Small town company lawyers in a small company can handle many short-term jobs such as making wills, divorce settlements, and real estate transactions, while corporate lawyers in a large city company can spend months devoted to negotiating a single business deal. Salary

The salary of a company lawyer can vary greatly: those employed by international law firms ("BigLaw" companies) earn an initial salary of USD 180,000, which increases annually with experience (this amount excludes additional bonus payments). Depending on the geographic location, the initial salary may be closer to USD 160,000 if the market is secondary. Lawyers working in small companies tend to earn less.
